Sell Side Assistance – National Fireworks Company
Our M&A team was asked to assist in the valuation of and exit strategy for a regional fireworks manufacturer, distributor, and retailer. Our team presented multiple valuation models, worked iteratively through the negotiation process, partnered with the legal team, leading to a successful deal close – on time and on budget. Our teams were involved with the licensing and registration of a
proprietary brand of Fireworks that was recently trademarked and assisted in developing a strategy for
wholesale distribution through the United States.
Our teams are continuing to work closely with the CEO and COO on the design and development of the wholesale distribution operation.
Merger Integration – Publicly Traded Company – SPAC
Our team was engaged to build the stand-up Day 1 finance organization for an add-on acquisition at a SPAC
portfolio company.
The Company was a middle-market provider of service contracts throughout the United States and had limited knowledge around the reporting or compliance requirements for publicly traded companies.
Our team successfully developed the accounting and finance department, created relationships between the operations departments and finance, and successfully built out a compliant and accurate accounting function.
SOX Compliance Program Framework and Implementation - National IT Sector Company
Our consultants implemented a SOX framework, Risk Control Matrices, Key Controls, and Test execution
for three large divisions of a publicly traded Company. During that period, our team successfully trained
the divisions on SOX control testing, executed the testing cycles with success, and moved the
subdivisions from limited control environments to an audited and reviewed SOX Compliant organization.
During this process, IKC teams also worked closely with Corporate Finance and Internal Audit to
streamline and enhance corporate processes for future SOX exercises.
Staff Augmentation – Interim Controller/BU Finance Lead – Multiple Clients
On multiple engagements, our team members have been asked to fill various roles, CFO, Controller, IT Project Lead, PMO, and IMO PM. We have placed multiple consultants to lead specific efforts, serve as interim leaders during acquisition transition or hiring transitions, or lead large, complex transformation projects. Our teams have staffed these positions for terms as long as 8 months during periods of uncertainty or difficult hiring environments. Our clients appreciate the flexibility with our staff augmentation pricing and rate schedules.
Recently, our teams completed two large system selection engagements, inclusive of leading the project
management efforts for the successful implementation and training of the portfolio company teams.
We worked alongside of the system integrators to design business processes that reduced customizations,
increased capabilities, and limited the amount of training hours required to move the systems from design phase to Day 1.
Our teams developed the training modules, conducted the process mapping and stakeholder needs assessments, developed, and led the overall project management efforts, and supplemented the creation of desktop procedures inclusive of ready to use templates for further system enhancements.
SOX Compliance Program Framework and Implementation - National IT Sector Company
Our IKC Finance team led the efforts for a recent portfolio acquisition to develop, design, and implement the revenue recognition and cost recognition tools for a large complex Warranty company. When our teams started the engagement, there was limited to no information from the Quality of Earnings reports and the acquired firm had no system or tool designed to accurately track significant financial information. IKC, by working with the acquirer, developed a simple-to-use system to accurately report
financial information. We successfully transitioned this role to the newly hired group controller.
